The university may not make payments in advance of receiving goods or services. Vendor shall perform all services using personnel of required skill, experience and qualifications and in a professional and workmanlike manner. Vendor guarantees that everything furnished will be free from defects in design, workmanship and material. Vendor shall hold student record information in strict confidence. Vendor shall comply with all applicable university policies and Arkansas and federal law while on campus. Vendor shall comply with all applicable national collegiate athletic association (NCAA) and athletic conference bylaws, rules, and regulations. Vendor agrees to comply with all applicable federal and state laws, including without limitation laws pertaining to nondiscrimination and affirmative action. Vendor shall collect and use data only for the purpose of performing its obligations under a purchase order or agreement. Vendor shall maintain appropriate technical and organizational measures for the protection of the security, confidentiality and integrity of data. Vendor shall maintain insurance, in the amount of at least $5,000,000 per occurrence, protecting the university against loss or damages including costs of litigation arising from a security breach. No assignment of the purchase order or agreement is permitted without the written consent of the university. The university reserves the right to purchase, use, lease, license or otherwise procure any similar services or products. Notices and other communications to the university shall be directed to the address provided in the purchase order or agreement, and to any email address provided by the university. All agreements and purchase orders, including all amendments thereto, shall be construed and enforced in accordance with the laws of the state of Arkansas. If federal transit administration (FTA) funds are used in any procurement by the university, certain contract clauses apply. Ethical standards for vendor retention are included. The university of central arkansas shall not be responsible or liable for any type of special or consequential damage to the other party. Vendor shall defend, indemnify, and hold harmless the university from any claims arising out of or in any way relating to the performance of vendor's obligations.
