All student data must be stored and processed solely on designated servers within the United States, unless otherwise agreed upon in writing. Data exchanged must be used exclusively for the purposes enumerated in the original agreement and cannot be distributed or shared across other applications or business units. Vendors must comply with federal and state laws regarding data disclosure. Auditors from designated agencies shall have the option to audit outsourced services, and records must be made available. Vendors must comply with the Louisiana database breach notification law and notify the school board immediately in case of a breach, assuming responsibility for informing affected individuals and indemnifying the school board. Upon termination, all data must be returned in a usable electronic form, and all data must be erased, destroyed, and rendered unreadable, with written certification of completion. Unauthorized disclosure or use of protected information may result in injunctive relief. Vendors must have a clear data breach response plan. Audit logs must be stored separately, with access restricted to prevent tampering, and retention should be based on a collaborative schedule. Confidential information may be disclosed to employees, subcontractors, agents, consultants, and auditors on a need-to-know basis, provided they have written confidentiality obligations. This addendum amends any prior agreement and is effective as of the authorized representative's signature. The document also includes certifications regarding lobbying, debarment and suspension, noncollusion, and a firearm anti-discriminatory act disclosure, requiring confirmation that the company does not discriminate against firearm entities or associations.
