BIDHITS TERMS OF USE AND SERVICE AGREEMENT By creating an account, starting a free trial, purchasing a subscription, renewing a subscription, using the website, using the API, receiving email alerts, using artificial intelligence features, or verbally requesting and accepting service through customer support, the individual or legal entity, acting for business or professional purposes, hereinafter referred to as "USER", agrees to these Terms of Use and Service Agreement, as well as to the Privacy Policy available at https://www.bidhits.com/privacy_policy.php. BIDHITS is a service operated by PORTAL GENIAL SERVICOS EM TECNOLOGIA DA INFORMACAO LTDA, a company organized in Brazil, enrolled with CNPJ 06.098.898/0001-69, with address at Rua Jose Formighieri, 399, sala 402, Videira, Santa Catarina, Brazil, hereinafter referred to as "BIDHITS". BIDHITS is intended only for companies, organizations, self-employed professionals and users acting for business or professional purposes. The service is not intended for personal, family or household use. If the USER acts on behalf of a company or organization, the USER represents that he or she has authority to bind that company or organization to these Terms. SECTION 1: DEFINITIONS 1.1. ACCESS PORTAL: means the set of features and resources made available by BIDHITS for access to content and services, including websites, applications, APIs, automated emails, search tools, filters, maps, artificial intelligence features, customer support and other means of consultation, integration or communication. 1.2. WEBSITE: means www.bidhits.com and any related pages, systems or online areas made available by BIDHITS for the United States market. 1.3. FREE TRIAL: means temporary access to the ACCESS PORTAL without charge, for the period and under the conditions displayed on the WEBSITE or offered by BIDHITS. When offered, the standard free trial may be 14 days or another period expressly informed by BIDHITS. 1.4. SUBSCRIPTION: means paid access to the ACCESS PORTAL for the contracted period, under the plan, price, currency, billing period and payment method selected by the USER or offered by BIDHITS. 1.5. CONTENT: means information, records, notices, links, documents, summaries, public procurement opportunities, bid information, public source references, search results, alerts, AI-generated outputs and other data made available through the ACCESS PORTAL. 1.6. ACCESS INFRASTRUCTURE: means internet connection, devices, browsers, software, security tools, email accounts, API systems and any other resources required for the USER to access and use the service. 1.7. REGISTRATION DATA: means identification, contact, billing, business, login and other account information provided by the USER. 1.8. API: means any application programming interface made available by BIDHITS for automated consultation, integration or access to CONTENT, subject to technical documentation, limits and rules defined by BIDHITS. 1.9. AI FEATURES: means artificial intelligence tools that may assist searches, organize information, summarize documents, answer questions, identify opportunities or provide other automated support related to public procurement information. 1.10. OFFICIAL SOURCES: means government portals, public procurement websites, public notices, bid documents, agency pages and other original sources where the procurement process is officially published or managed. SECTION 2: PURPOSE 2.1. The purpose of this Agreement is to regulate the access and distribution, by BIDHITS to the USER, of the CONTENT and services available through the ACCESS PORTAL. 2.2. BIDHITS is a search, monitoring, alert and support tool for public procurement opportunities. BIDHITS is not a government agency, public authority, procurement authority, legal advisor, broker, representative or guarantor of any public procurement process. 2.3. The USER remains solely responsible for verifying all information in the OFFICIAL SOURCES before making any business, legal, technical, operational or financial decision. SECTION 3: REGISTRATION AND ACCEPTANCE 3.1. Access to BIDHITS may occur through a FREE TRIAL, a SUBSCRIPTION, conversion of a FREE TRIAL into a SUBSCRIPTION, API access or another method made available by BIDHITS. 3.2. The Agreement is accepted when the USER creates an account, clicks an acceptance button, starts using the ACCESS PORTAL, requests service, pays for a plan or otherwise confirms acceptance. 3.3. The USER must provide true, complete and updated REGISTRATION DATA. BIDHITS may request confirmation of REGISTRATION DATA at any time. 3.4. BIDHITS may refuse, suspend or terminate access if there is evidence of false information, irregular data, unauthorized use, shared credentials, abuse, fraud, excessive use, violation of these Terms or risk to the ACCESS PORTAL. 3.5. Notices related to the account, subscription, billing, security, support, changes to the service and other relevant matters may be sent by email. The USER is responsible for keeping a valid email address and for checking messages from BIDHITS. SECTION 4: FREE TRIAL 4.1. The FREE TRIAL is a courtesy granted by BIDHITS and may be changed, refused, limited, suspended or discontinued at any time, subject to applicable law. 4.2. Unless expressly stated otherwise, the FREE TRIAL does not create any obligation for the USER to purchase a SUBSCRIPTION. 4.3. After the FREE TRIAL expires, BIDHITS will not automatically convert the FREE TRIAL into a paid SUBSCRIPTION and will not charge the USER unless the USER expressly selects a paid plan or payment method. 4.4. During the FREE TRIAL, BIDHITS may limit features, access volume, API use, export options, support, search history or any other function. 4.5. If BIDHITS detects irregular REGISTRATION DATA, abusive use, shared access, automated scraping, excessive use, fraud or any breach of these Terms, BIDHITS may block the FREE TRIAL without any compensation. SECTION 5: SUBSCRIPTION 5.1. During or after the FREE TRIAL, the USER may purchase a SUBSCRIPTION by selecting a plan and payment method available on the ACCESS PORTAL or offered by BIDHITS. 5.2. SUBSCRIPTIONS are prepaid, unless BIDHITS expressly agrees otherwise in writing. 5.3. The SUBSCRIPTION starts only after payment approval, payment settlement, fraud analysis, risk approval or another confirmation required by BIDHITS or its payment providers. 5.4. BIDHITS may, as a courtesy, release access before final payment settlement. This does not waive any right of BIDHITS to block, suspend or terminate access if payment is not completed. 5.5. If the SUBSCRIPTION is cancelled, terminated, expired or unpaid, access to CONTENT may be blocked or limited until the USER purchases or renews a SUBSCRIPTION. 5.6. The USER is solely responsible for protecting passwords, login credentials, API keys, devices and email accounts. BIDHITS is not responsible for losses caused by poor credential protection, credential sharing, unauthorized access or use by third parties. 5.7. The USER is responsible for the accuracy of the email address and other REGISTRATION DATA. BIDHITS is not responsible for losses resulting from failure to receive emails, spam filters, blocked domains, full mailboxes, incorrect addresses or other email delivery issues not caused directly by BIDHITS. 5.8. BIDHITS may offer different plans, currencies, billing periods, payment methods, discounts, coupons, promotional conditions or commercial campaigns. BIDHITS may change, create or discontinue plans and offers at any time. 5.9. Near the end of a contracted period, BIDHITS may send renewal proposals or reminders. Renewal is not mandatory unless the USER has expressly selected automatic renewal. 5.10. If automatic renewal is available and selected by the USER, BIDHITS will charge the payment method authorized by the USER at the renewal time, according to the plan conditions informed before authorization. 5.11. The USER may cancel automatic renewal through the ACCESS PORTAL or by contacting BIDHITS support. Cancellation of automatic renewal prevents future renewal charges, but does not automatically refund amounts already paid, except as expressly provided in these Terms or required by applicable law. 5.12. BIDHITS may send operational emails related to the service, including alerts, account notices, billing notices, renewal notices, support messages and security communications. Promotional emails may include an unsubscribe option where required by applicable law. SECTION 6: USER OBLIGATIONS AND RESTRICTIONS 6.1. The USER is solely responsible for obtaining, maintaining and paying for the ACCESS INFRASTRUCTURE needed to use BIDHITS. 6.2. The USER must verify all bid information, notices, deadlines, requirements, documents, addenda, corrections, official communications and procedures directly with the OFFICIAL SOURCES. 6.3. The USER is solely responsible for deciding whether to participate in any public procurement process and for complying with all applicable procurement rules, deadlines, technical requirements, legal requirements, tax requirements, labor requirements, integrity rules, anti-corruption laws, sanctions laws and any other rules applicable to the USER or the procurement process. 6.4. The USER must preserve and correctly use passwords, login credentials and API keys, and will be responsible for all activity performed through the account. 6.5. The USER may not attempt to damage, overload, interfere with, invade, scan, test vulnerabilities of, reverse engineer or otherwise harm the systems, servers, databases, networks, code, security mechanisms or partners of BIDHITS. 6.6. The USER agrees to use BIDHITS only for lawful business or professional purposes and within the access limits established by BIDHITS. 6.7. The following uses are prohibited: 6.7.1. Reverse engineering, decompiling, decoding, extracting, copying, modifying or exploring any code, script, database, model, system, interface or component of the ACCESS PORTAL. 6.7.2. Massive search, scraping, crawling, data mining, harvesting, automated collection or bulk extraction of bid information, except when expressly allowed by BIDHITS through the API and within the applicable limits. 6.7.3. Using the ACCESS PORTAL to build, feed, improve, train or operate a competing product, service, database, platform or marketplace. 6.7.4. Redistributing, reselling, sublicensing, publishing or sharing CONTENT in any website, platform, database, portal, mailing list, application or service that competes with BIDHITS or provides public procurement information to third parties. 6.7.5. Publishing CONTENT obtained from BIDHITS without proper reference to BIDHITS and without the link provided by the ACCESS PORTAL, when such publication is authorized. 6.7.6. Altering, manipulating or misrepresenting CONTENT in a way that may harm BIDHITS, third parties, public authorities, procurement entities or other users. 6.7.7. Sharing access credentials, allowing simultaneous use by unauthorized persons, or using one account for multiple users when the applicable plan does not allow it. 6.7.8. Using bots, scripts, automation, unauthorized integrations or any other automated means to operate the ACCESS PORTAL, except as expressly permitted through the API. 6.7.9. Exceeding API request limits, technical limits, rate limits, access limits or other use limits established by BIDHITS. 6.7.10. Using BIDHITS for fraud, spam, phishing, malware, cyberattacks, unlawful surveillance, illegal data collection, corruption, bribery, bid manipulation, anti-competitive conduct or any other unlawful activity. 6.8. Any breach of this Section may result in immediate suspension or termination of access, without refund, in addition to collection of losses, damages, costs, attorneys' fees and communication to competent authorities when appropriate. SECTION 7: SERVICE, CONTENT, AI FEATURES AND DISCLAIMERS 7.1. BIDHITS will use commercially reasonable efforts to make the ACCESS PORTAL available during the term of the SUBSCRIPTION, except during maintenance, updates, failures, security events, force majeure, third-party outages, telecommunications problems, cloud provider issues, payment provider issues or other events outside the reasonable control of BIDHITS. 7.2. BIDHITS does not guarantee that the ACCESS PORTAL, CONTENT, email alerts, API, AI FEATURES or any other feature will be uninterrupted, error-free, complete, current, secure, compatible with all systems, or free from delays. 7.3. BIDHITS is a search and monitoring tool. Although BIDHITS constantly updates its database and may use automated systems, public sources, crawling, manual review and artificial intelligence to improve results, BIDHITS does not guarantee that all public procurement opportunities will be found, indexed, classified, summarized, translated, alerted or displayed. 7.4. BIDHITS is not responsible for missing, incorrect, outdated, incomplete or unavailable information in CONTENT, emails, API responses, AI outputs or search results. 7.5. BIDHITS is not responsible for any decision by the USER to participate or not participate in any public procurement process, nor does BIDHITS guarantee eligibility, qualification, acceptance, award, revenue, profit, legal compliance or any result in any procurement process. 7.6. BIDHITS may include, exclude, suspend, change or replace sources, features, filters, regions, categories, maps, API functions, AI FEATURES, email alerts, formats, limits, layout, search logic, ranking logic or any other technical or operational aspect of the service at any time. 7.7. AI FEATURES are auxiliary tools only. AI-generated answers, summaries, classifications, explanations, recommendations or interpretations may be incomplete, outdated, inaccurate or unsuitable for a specific case. 7.8. AI FEATURES do not provide legal, tax, accounting, engineering, procurement, compliance or professional advice. The USER must verify all AI outputs with OFFICIAL SOURCES and, when necessary, with qualified professionals before taking any action. 7.9. The USER must not submit to AI FEATURES any sensitive information, confidential information, trade secrets, personal information of third parties without authorization, protected procurement information, classified information, privileged information, financial credentials or any content that the USER is not authorized to share. 7.10. BIDHITS may process prompts, questions, files, interactions and outputs submitted to AI FEATURES to provide, secure, monitor and improve the service, subject to the Privacy Policy and applicable provider terms. 7.11. BIDHITS may use third-party providers for hosting, infrastructure, analytics, email, payment, support, security, API, AI FEATURES and other operational needs. BIDHITS is not responsible for failures caused by third-party providers, except to the extent required by applicable law. 7.12. To the maximum extent permitted by applicable law, the ACCESS PORTAL, CONTENT, API, AI FEATURES and all services are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability or uninterrupted operation. SECTION 8: THIRD-PARTY RESPONSIBILITY AND INDEMNIFICATION 8.1. The USER will indemnify, defend and hold harmless BIDHITS, its owners, officers, employees, contractors, partners and suppliers from and against any claims, losses, damages, fines, penalties, costs, expenses and attorneys' fees arising from: 8.1.1. use of the ACCESS PORTAL, CONTENT, API or AI FEATURES by the USER; 8.1.2. any act or omission performed through the USER account, password or API key; 8.1.3. violation of these Terms; 8.1.4. violation of any law, regulation, procurement rule, third-party right or contractual obligation; 8.1.5. participation or non-participation in any public procurement process; 8.1.6. misuse, redistribution, manipulation or unauthorized publication of CONTENT; 8.1.7. information, files, prompts, comments or other materials submitted by the USER. 8.2. BIDHITS is not responsible for third-party websites, government portals, public procurement platforms, links, documents, payment providers, AI providers, analytics providers, email providers or other external services. Such services may have their own terms, privacy policies, rules and availability. SECTION 9: PAYMENT, PRICE ADJUSTMENT AND PENALTIES 9.1. As consideration for the contracted service, the USER must pay BIDHITS the amounts corresponding to the selected plan, period, currency and payment method. 9.2. BIDHITS may immediately suspend or block access by delinquent USERS until payment is effectively regularized. BIDHITS may also consider the Agreement terminated. 9.3. Payments must be made through the payment methods made available by BIDHITS, such as credit card, debit card, PayPal, bank transfer, wire transfer, invoice or any other available method. 9.4. If the USER remains delinquent after payment attempts or collection notices, BIDHITS may send the debt to a collection agency, file a collection claim, report the debt where legally permitted, and charge the USER for collection costs, payment provider fees, bank fees, taxes, attorneys' fees, court costs and other amounts permitted by applicable law. 9.5. BIDHITS may change, remove or add payment methods, subscription plans, billing periods, prices, currencies and due dates at its sole discretion. Changes will not affect an already paid period, except where expressly agreed or legally required. 9.6. To update amounts depreciated by inflation, subscription prices may be adjusted. 9.6.1. The regular adjustment period will be once every 12 months. 9.6.2. If accumulated inflation exceeds 25% since the last adjustment or since the first payment, BIDHITS may anticipate the price adjustment. 9.6.3. For plans charged in U.S. dollars, the adjustment index will be the Consumer Price Index for All Urban Consumers (CPI-U), published by the U.S. Bureau of Labor Statistics, or any equivalent official index that replaces it, when positive. 9.6.4. For plans charged in currencies other than U.S. dollars, the adjustment index will be the CPI or equivalent official consumer price index applicable to the currency or country of the contracted plan, when positive. If no reliable official index is available, BIDHITS may use the U.S. CPI-U as reference. 9.6.5. For plans charged in Brazilian Reais, the adjustment index will be the accumulated IGP-M or any equivalent index that replaces it, when positive. 9.7. When available, the USER may save a payment card to facilitate future payments. 9.7.1. When a card is saved, BIDHITS will store only a tokenized version of the card through a secure payment provider. BIDHITS does not store the full original card number. 9.7.2. The USER may request deletion of the tokenized card from the ACCESS PORTAL or by contacting BIDHITS support, subject to technical limitations of payment providers and outstanding payment obligations. 9.8. When available, the USER may choose automatic renewal. By choosing automatic renewal, the USER authorizes BIDHITS and its payment providers to charge the selected payment method at the renewal date according to the plan, amount, frequency and currency informed to the USER. 9.8.1. If automatic renewal is selected, BIDHITS will make available the material renewal terms, including the recurring nature of the charge, billing period, price, currency, payment method and cancellation method. 9.8.2. If the automatic renewal charge fails, the USER may use any other available payment method to remain active. 9.8.3. The USER may cancel automatic renewal at any time through the ACCESS PORTAL or by contacting BIDHITS support. Cancellation of automatic renewal does not cancel access already paid for the current period, unless otherwise stated or required by applicable law. SECTION 10: TERM, CANCELLATION AND REFUND 10.1. This Agreement starts when the USER creates an account, starts a FREE TRIAL, purchases a SUBSCRIPTION or first uses the ACCESS PORTAL, whichever occurs first. 10.2. The SUBSCRIPTION remains valid until the end of the contracted and paid period, unless terminated earlier under these Terms. 10.3. As a contractual courtesy, and unless a different refund rule is displayed at the time of purchase, the USER may cancel a first paid SUBSCRIPTION within 7 days after purchase and request refund of the amount paid for that first purchase. 10.4. After the 7-day period mentioned in Section 10.3, refunds will be governed by Section 11 or by specific conditions expressly offered by BIDHITS. 10.5. Cancellation of automatic renewal prevents future renewal charges but does not, by itself, generate refund of the current paid period. 10.6. If the USER violates these Terms, engages in abusive use, commits fraud, shares access, performs unauthorized automation, redistributes CONTENT, attacks the system, breaches API limits or uses BIDHITS unlawfully, BIDHITS may terminate access without refund. SECTION 11: TERMINATION 11.1. BIDHITS may terminate this Agreement at any time by sending notice to the USER. 11.2. The USER may terminate this Agreement at any time by contacting BIDHITS support or using cancellation tools available in the ACCESS PORTAL. 11.3. In case of early termination by the USER or by BIDHITS without breach by the USER, BIDHITS will refund the proportional amount paid for the unused paid period, excluding any free, bonus, promotional or courtesy period. 11.4. No refund will be due if termination results from violation of these Terms, fraud, abusive use, shared credentials, unauthorized automation, reverse engineering, unlawful conduct, chargeback abuse, violation of API limits or any act that harms BIDHITS, other users, public authorities or third parties. 11.5. Refunds will be made through the same payment method used for purchase whenever technically possible. 11.6. For card, PayPal or similar payments, the refund will be requested to the payment provider, and the final posting date will depend on the card issuer, bank, payment provider or financial institution. BIDHITS is not responsible for delays caused by such providers. 11.7. For bank transfer, wire transfer or similar payments, the USER may be required to provide bank account information under the same company name or legal name registered in the account. 11.8. The maximum period for BIDHITS to request or process an approved refund will be up to 30 business days after receiving all information required for the refund, except when delays are caused by banks, card issuers, payment providers, missing information, fraud review or legal restrictions. 11.9. Sections that by their nature should survive termination will remain valid, including payment obligations, use restrictions, intellectual property, disclaimers, limitation of liability, indemnification, governing law, forum and dispute resolution. SECTION 12: LIMITATION OF LIABILITY 12.1. To the maximum extent permitted by applicable law, BIDHITS will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, loss of data, interruption of business, procurement losses, bid disqualification, missed deadlines, failure to participate in a bid, failure to win a bid, or damages arising from reliance on CONTENT, emails, API responses or AI outputs. 12.2. To the maximum extent permitted by applicable law, the total liability of BIDHITS for any claim related to the service will not exceed the amount effectively paid by the USER to BIDHITS for the affected service during the 12 months immediately before the event giving rise to the claim. 12.3. The limitations in this Section apply regardless of the legal theory, whether contract, tort, negligence, strict liability, warranty, statute or otherwise, even if BIDHITS was advised of the possibility of damages. 12.4. Some jurisdictions do not allow certain exclusions or limitations. In such cases, the exclusions and limitations will apply to the maximum extent permitted by applicable law. SECTION 13: INTELLECTUAL PROPERTY 13.1. BIDHITS, the ACCESS PORTAL, the WEBSITE, databases, search logic, software, code, interfaces, designs, trademarks, trade names, texts, summaries, classifications, AI configurations, API structure, organization of CONTENT and other proprietary elements are owned by BIDHITS or its licensors. 13.2. These Terms grant the USER only a limited, non-exclusive, non-transferable, revocable right to access and use the service during the valid FREE TRIAL or SUBSCRIPTION period, according to these Terms. 13.3. No ownership rights are transferred to the USER. 13.4. Public procurement information may originate from public sources. However, the collection, organization, indexing, enrichment, classification, presentation, comments, filters, alerts, AI outputs, database structure and access tools made available by BIDHITS are protected to the maximum extent permitted by law. 13.5. Feedback, suggestions or improvement ideas sent by the USER may be used by BIDHITS without restriction, payment or obligation. SECTION 14: CHANGES TO THE SERVICE AND TERMS 14.1. BIDHITS may modify, add or remove features, plans, sources, limits, API functions, AI FEATURES, payment methods, prices, layouts, alerts or other aspects of the service at any time. 14.2. BIDHITS may update these Terms by giving notice to the USER by email, website notice, account notice or another reasonable method. 14.3. If the change materially affects the USER's rights or obligations, BIDHITS will use reasonable efforts to provide at least 7 days' prior notice. 14.4. If the USER does not agree with the updated Terms, the USER may terminate the Agreement before the effective date of the change. Continued use after the effective date means acceptance of the updated Terms. 14.5. The current version of these Terms will be the version published on the WEBSITE. SECTION 15: PRIVACY, EMAILS AND DATA 15.1. The collection, use, disclosure and protection of personal information are governed by the Privacy Policy available at https://www.bidhits.com/privacy_policy.php. 15.2. The USER authorizes BIDHITS to send operational emails necessary for the service, including bid alerts, account notices, support messages, security notices, billing notices and renewal notices. 15.3. Promotional emails may be sent where permitted by applicable law. The USER may unsubscribe from promotional emails through the unsubscribe link or by contacting BIDHITS support. Operational emails may continue when needed to provide the service. 15.4. The USER must not submit personal information of third parties, sensitive information, confidential information or protected procurement information unless the USER has legal authority to do so. SECTION 16: GOVERNING LAW, FORUM AND DISPUTES 16.1. These Terms are governed primarily by the applicable federal laws of the United States. 16.2. To the extent United States federal law does not govern a specific matter, the laws of the State of Delaware, United States of America, will apply, without regard to conflict of law rules. 16.3. The parties elect the courts of the Judicial District of Videira, State of Santa Catarina, Brazil, as the exclusive forum to resolve disputes arising from or related to these Terms, the ACCESS PORTAL, the SUBSCRIPTION, the API, AI FEATURES or the relationship between the parties, excluding any other forum, however privileged it may be. 16.4. Procedural matters before Brazilian courts will be governed by Brazilian procedural law. 16.5. Nothing in this Section prevents BIDHITS from seeking injunctive relief, emergency relief, collection, enforcement of payment obligations, protection of intellectual property, protection against cyberattacks, protection against unauthorized use or enforcement of a judgment in any competent court when necessary. 16.6. To the extent any dispute is heard in a jurisdiction where jury trials or class actions are available, and to the maximum extent permitted by applicable law, the parties waive the right to jury trial and agree that claims must be brought only on an individual basis, not as a plaintiff or class member in any class, collective, representative or consolidated proceeding. SECTION 17: GENERAL PROVISIONS 17.1. The USER may not assign or transfer rights or obligations under these Terms without prior written consent from BIDHITS. 17.2. BIDHITS may assign or transfer these Terms in connection with corporate reorganization, merger, acquisition, sale of assets, change of control, group company restructuring or operational transfer. 17.3. Tolerance or failure by either party to enforce any provision will not constitute waiver, novation or amendment. 17.4. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid or unenforceable provision will be interpreted or replaced to best achieve its original purpose. 17.5. These Terms, together with the Privacy Policy, plan conditions, API documentation and any specific written terms accepted by the USER, constitute the entire agreement between the parties regarding the service. 17.6. In case of conflict between these Terms and a specific written agreement signed by BIDHITS, the signed agreement will prevail only for the specific matter it regulates. 17.7.
