The Tennessee Board of Regents (TBR) is seeking proposals for banking and merchant services. Proposals are due June 23, 2025, at 2:00 PM CT. The bidder must maintain a commercial general liability policy with minimum limits of $1,000,000 per occurrence and $3,000,000 in the aggregate, and workers compensation coverage. Bidders must schedule a mandatory onsite evaluation. The contract term is from **** to 2026-05-12. The institution reserves the right to extend the contract for additional periods of time. The maximum liability of the institution under this contract is a firm amount. The contractor shall submit monthly invoices with supporting documentation. The contractor shall not be compensated for travel, meals, or lodging unless otherwise specified. The institution reserves the right to deduct amounts from payments due to the contractor. The institution reserves the right to terminate the contract without cause. The contractor shall not assign this contract or enter into a subcontract without prior written approval. The contractor warrants that no part of the total contract amount shall be paid directly or indirectly to an employee or official of the state of Tennessee. The contractor agrees to comply with all applicable state and federal laws and regulations. The contract is subject to the appropriation and availability of state and/or federal funds. The contractor shall maintain a commercial general liability policy with minimum limits of $1,000,000 per occurrence and $3,000,000 in the aggregate, and workers compensation coverage. The contractor shall provide proof of all required insurance prior to contract execution. The contractor shall comply with all applicable state and federal laws and regulations. The contract shall be governed by and construed in accordance with the laws of the state of Tennessee. The contractor agrees that it will be subject to the exclusive jurisdiction of the Tennessee claims commission in actions that may arise under this contract. The contractor shall maintain documentation for all charges against the institution under this contract. The contractor shall submit brief, periodic progress reports to the institution as requested. The contractor shall not refer to this contract or the contractor's relationship with the institution in commercial advertising. The contractor agrees to indemnify and hold harmless the institution as well as its officers, agents, and employees from and against any and all claims or suits. The contractor certifies that it and its principals are not presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from covered transactions by any federal or state department or agency. The contractor certifies that it is not on the list created pursuant to Tenn. Code Ann. 1212106. The contractor certifies that it is not currently engaged in and will not for the duration of the contract engage in, a boycott of Israel. The contractor warrants that the service and software provided to the institution will meet the accessibility standards set forth in WCAG 2. 1 AA. The contractor agrees that clickwrap agreements shall not be binding upon the institution. The contract is not binding until all appropriate state officials' approvals and signatures have been obtained.
