chiller maintenance and
warranty services at the Deerwood Advanced Technology Center. A deductive change order will be made for the value of invoiced college direct purchases plus sales tax. A purchase requisition form (POR) is required, including vendor information, itemized descriptions, quantities, unit prices, and extended totals. Invoices must be submitted weekly, accompanied by signed delivery tickets and packing slips. The owner (Florida State College at Jacksonville) is exempt from sales tax, and will purchase materials directly from vendors, with a deductive change order to the contractor's contract reflecting the full value of the materials and sales tax savings. The contractor is responsible for all matters relating to the receipt of materials, including verification of specifications, quantities, inspection, and acceptance. The owner will be invoiced directly by the supplier for direct purchases. Payment for building materials/equipment will be made directly to the selling supplier by the owner. The owner will bear the costs of all owner-purchased insurance, including builder's risk insurance, for materials purchased under this agreement. The contractor shall maintain separate accounting records for all transactions carried out under the authority granted to it as agent. These records shall be open to the owner and the state of Florida's auditors general office during normal business hours. The contract has a term of 12 months, with an option to extend for up to 5 additional one-year periods. The contractor shall comply with all laws, ordinances, rules, and regulations, whether federal, state, or local, applicable to the operation of its business, including compliance with federal affirmative action/equal employment opportunity regulations. All contractor or subcontractor employees who perform services shall have passed a Duval County Public School Board (DCPS) level II or FDLE/FBI criminal background check. Invoices shall be submitted no more frequently than once a month. Owner will remit payment either electronically or by manual check within 40 days or payment terms defined in submittal part 1 for satisfactory completion of defined deliverables and receipt of an accepted invoice. The contractor shall include in solicitations of subcontractor bids in accordance with attachment b herein regarding sales tax exemption. The contractor shall comply with all laws, ordinances, rules, and regulations, whether federal, state, or local, applicable to the operation of its business, including compliance with federal affirmative action/equal employment opportunity regulations. Any employee performing work in respect to contract ITB **** must comply with the rules of the board of trustees 6hx72. 19 titled, tobacco and smoke-free environment. Contractor shall indemnify, release, defend and hold harmless owner from all claims, liabilities, damages, suits, causes of action or judgments including, but not limited to, owners reasonable costs and attorneys fees, arising out of the negligent acts contractors or its subcontractors, arising out of or in connection with its obligations under this agreement. During all terms of this agreement, contractor shall, at its sole cost and expense, maintain workers compensation insurance as required by law, and other specified insurance on an occurrence basis in an amount equal to the limits as defined in owner proposal ****. Contractor shall provide a certificate of insurance listing the district board of trustees, 501 west state street, Jacksonville, FL ****, of Florida State College at Jacksonville as additionally insured before services shall commence and confirming that before any cancellation modification or reduction in coverage of such policies, the insurance company shall give thirty 30 days prior written notice to owner of such proposed cancellation, modification or reduction.
