The contractor shall hold and save WCPSS harmless from liability on account of any confidential information, copyrighted material, patented or unpatented invention, articles, device or appliance manufactured or used in the performance of this contract. No assignment of the contractor's obligations is permitted. Certificates of insurance acceptable to WCPSS shall be filed prior to commencement of work. The provider agrees to hold harmless and indemnify the Wake County Board of Education for any liability that may arise from the negligent or illegal acts of the vendor's employees or agents. The provider shall conduct sexual offender registry checks on each employee, agent, ownership personnel, or contractor personnel. The provider shall comply with all applicable laws and regulations in providing services under this contract.
