ESD reserves the right to amend, modify, withdraw, revise requirements, require supplemental statements, accept or reject responses, extend deadlines, negotiate terms, communicate with bidders to correct responses, cancel or reissue the RFP, and extend the term of any agreement. All costs associated with responding to the RFP are the bidder's responsibility. Information submitted is subject to the Freedom of Information Law and may be discussed at ESD director meetings, which are subject to the Open Meetings Law. ESD reserves the right to retain and use all submitted materials. The awarded contract may be subject to review and approval by the Office of the State Comptroller (OSC) for contracts exceeding one million dollars. Contractor performance will be assessed according to contractual obligations. ESD may make changes or additions to work within the general scope of the contract, not including professional services requiring licenses. Contractor staff assigned to the project must be approved by ESD. ESD has the right to approve or disapprove proposed changes in staff. The agreement is intended to secure professional services and cannot be assigned. The contractor agrees not to subcontract services without prior written approval. All employees must possess necessary qualifications, training, licenses, and permits. Respondents must attest to compliance with conflicts of interest provisions. State Finance Law sections 139j and 139k apply. All bidders must be responsible, demonstrating financial ability, organizational capacity, legal authority, and integrity. Bidders must register in the State's Vendor Responsibility System (VENDREP). Every proposal must contain a statement certifying that the bidder is not on the list created pursuant to paragraph b of subdivision 3 of section 165a of the State Finance Law. All bidders must certify compliance with Executive Order 16 and Executive Order 177. ESD is required to promote opportunities for the maximum feasible participation of New York State-certified minority and women-owned business enterprises (MWBE). An overall goal of 30% MWBE participation is established. A contractor must document good faith efforts to provide meaningful participation by MWBE subcontractors and suppliers. ESD may withhold payment pending receipt of required MWBE documentation. Bidders must submit an MWBE utilization plan. Equal employment opportunity requirements apply. Bidders must submit a minority and women-owned business enterprise and equal employment opportunity policy statement (OCSD1). If awarded a contract, respondent shall submit a workforce utilization report. Participation opportunities for New York State certified servicedisabled veteran-owned businesses (SDVOB) are provided. ESD establishes an overall goal of 6% SDVOB participation. Bidders must submit a completed SDVOB utilization plan. Contractors must document good faith efforts toward utilizing SDVOBs. New York State businesses are strongly encouraged to be considered in the fulfillment of contract requirements. ESD requests that each respondent complete the encouraging use of New York State businesses in contract performance form. Any contract resulting from this solicitation is subject to the requirements of State Tax Law section 5a. All bidders must include a properly completed form ST220CA or an affidavit.
