Selection of a firm will be made on the basis of the following criteria: 1. qualifications of the firm 2. qualifications of the individuals assigned from the firm and of any subconsultants 3. availability and approach to provide the services 4. participation of underrepresented groups 5. submission of a completed work authorization affidavit and all associated documentation identified in attachment 1 6. cost, as described above and 7. responsiveness of the firm to the rfp categories.

Proposals submitted will be reviewed for completeness and qualifications.

Failure to comply with section **** rsmo. is required for all contracts with the st. louis county port authority in excess of 5, 000. if a business entity that is awarded a contract does not complete and return the required documents and or affidavits to the st. louis county port authority as part of the contract, this failure will be deemed a breach of the terms of such contract.

Compensation for Task 2 services is limited to the negotiated contingency fee percentage. No expenses will be reimbursed unless approved by COR. Compensation for Task 3 services is divided into two sections: financing funds contingency fee and due diligence non-administrative expenses.

The contractor shall be a law firm registered/licensed in the Brazilian Republic Bar Association to practice law in Brazil. The contractor shall have experience in locating assets, restructuring agreements, and litigating collection matters at all levels of courts in Brazil. The contractor shall have experience handling collection matters on behalf of foreign entities, especially foreign government entities.

The COR will monitor the work of the contractor through periodic site trips.

All information received before August 17, 2026, at 10:00 AM Eastern will be considered by the government.

If the contractor is debarred from performing legal work based on local jurisdiction directives, the contractor shall inform Exim Bank. Exim Bank will then take appropriate action which may include termination of the contract.

Proposals must be received by the SHA no later than Friday, August 21st, 2026, at 3:00 PM Central Time.

The SHA's intent is for the contractor to receive prompt payment. Bills submitted must be received no later than 10 days prior to the next scheduled payment processing date (1st and 15th of each month). Payment is anticipated within thirty (30) days of receipt or approval, whichever is later.

Proposals will be evaluated based on proposed cost (20 points), previous experience in union contracts (30 points), personnel policy (25 points), personnel and labor law (15 points), and human rights law (10 points).

Proposers must be qualified, licensed, and insured entities with demonstrated professional qualifications and the ability to perform the work, including experience in representing local government, negotiating union contracts, arbitration, personnel transactions, and personnel policy review.

The SHA reserves the right to terminate the agreement at any time, without penalty, upon written notice if the contractor's work does not meet quality standards. The sample contract mentions liquidated damages of **** for each calendar day completion is delayed beyond the contract time.

Questions will be accepted until August 10th, 2026, 3:00 PM CST.

Failure to abide by communication requirements (only communicating with the designated contact person) may be cause for the SHA to not consider a proposal. Submissions lacking required items will be deemed nonresponsive. Proposals not conforming to requirements or offering alternate services may be rejected.
