Contract for software updates for the AirCheckTexas Vehicle Emissions I/M Program. The current software on worldwide analyzers is proprietary. Modifications can only be performed by the manufacturer. The contract may be renewed for up to three one-year periods and can be extended by 180 days. A performance bond of $1,000,**** is required. Invoices are due by the 15th of each month. Prompt payment is within 30 days of invoice receipt. Tceq may terminate the contract for cause or convenience. Contractor must comply with all applicable laws and regulations.
Delivery shall be made between the hours of 8 a. m. and 5 p. m. Central time, Monday through Friday, excluding state holidays, unless prior approval for another delivery time has been granted by Tceq.
In accordance with the Texas Prompt Payment Act, Tceq will pay an acceptable invoice within 30 days of receipt. Tceq may dispute an invoice by sending a notice in writing to the contractor within 21 days of receipt.
Contractor warrants that all goods, services, and property provided conform to the contract and are merchantable, fit for purpose, of best quality, and free from deficiencies. Warranties are effective upon final payment and for 24 months thereafter.
Contractor shall provide competent, suitably qualified personnel. Contractor will use the U. S. Department of Homeland Security's e-Verify system to determine eligibility of personnel.
In the event of early termination by the contractor, contractor shall provide at least 180 days written notice. Early termination may result in calling of the performance bond.
Tceq may make a scheduled or unscheduled visit to any location where the work is being performed.
Contractor must provide Tceq with a written objection to any notice of interpretation no later than five (5) business days from the effective date of the notice.
If contractor is debarred by the state of Texas or is subject to suspension, debarment, exclusion, disqualification, or similar ineligibility determined by any federal, state or local government entity, Tceq may terminate this contract for cause.
