The university is governed by the Tennessee Prompt Pay Act of ****, allowing 45 days for payment, but it is common practice to pay within thirty (30) days from receipt of an undisputed invoice. A prompt payment discount will be considered in the award process when given for 30 days (e. g. , 1% 15 days, net 30 days). Payment terms for less than thirty (30) days will not be considered and may cause the proposal to be considered noncompliant.

An award for this bid shall be made to the lowest responsive and responsible bidder considering the following: ability to perform, conformity to specifications, pricing, required submittals, company history, and references, and contractors qualifications, experience, and certifications.

Companies must have been in business providing electronic access control service and software for a minimum of three (3) years. Proposers must also have all licenses, permits, and certificates required by federal and state laws for the performance of this contract. If the bid equals or exceeds $25,****, proposers are required to be licensed by the State of Tennessee Board of General Contractors.

The institution may terminate the agreement for nonperformance, as determined by the institution for causes including, but not limited to: failure to provide satisfactory quality of service, any substantial change in ownership or proprietorship of the contractor, failure to comply with the terms of the agreement, filing for bankruptcy, or making a general assignment for the benefit of creditors. The institution will provide ten (10) calendar days written notice of default. Unless arrangements are made to correct the nonperformance issues to the institution's satisfaction within ten (10) calendar days, the institution may terminate the agreement by giving ninety (90) days notice.

Failure to attach required documents, such as the ethnicity report form, W9, and electronic access control specifications, may cause your submission to be rejected. Failure to comply with the Tennessee Contractors License requirement if applicable will result in rejection of your bid. Failure to sign the proposal will result in the disqualification of your entire ITB proposal.

The institution is seeking a September 1, 2026, start date for the services.

The bid notice states that invoice billing shall occur monthly or annually and that the minimum terms are Net 30 days. Prepayment is not allowed.
