Vendor shall submit invoices within a timely manner during hcdes or the cp members fiscal year in which the products andor services are purchased. Payments are due to vendor by hcde and any cp member whose governing body meets only once a month or less frequently, within fortyfive 45 days after the later of the following: 1 the date hcde or the cp member receives the products and services under the contract 2 the date the performance of the service under the contract is completed or 3 the date hcde or the cp member receives an invoice for the products or service. Vendor shall maintain its records and accounts in a manner that shall assure a full accounting for all products andor services provided by the vendor to hcde andor cp members under this contract. Vendor shall indemnify and hold harmless hcde and each cp member, including hcdes and cp members trustees, officers, administrators, employees, and agents, from all claims, liabilities, costs, suits of law or in equity, expenses, reasonable attorneys fees, fines, penalties or damages arising from acts or omissions of vendor, vendors employees, agents, or subcontractors, in connection with this contract, including without limitation, those arising from claimed infringement of any patents, trademarks, copyright or other corresponding rights which is related to any item vendor is required to deliver.
