The City of Denton's standard payment processing for invoices, materials, or services ordinarily requires thirty (30) days after receipt. The City intends to make payment within thirty days after receipt of valid invoices for which items or services have been received unless unusual circumstances arise. The 30-day processing period for invoices will begin on the date the invoice is received or the date the items or services are received, whichever is later.

The contractor shall provide a warranty that is standard in the industry. Repair or maintenance of fleet not performed to industry standards shall be accomplished at the contractor's expense, at the option of the City.

Respondents must have five (5) years of experience providing similar products or services, be in business at least 5 years, be registered with the State of Texas, and be an authorized manufacturer or distributor for products identified in the technical specifications.

The contractor shall incur contractual payment losses for performance that falls short of specified performance standards. The contractor shall be assessed a one (1) percent fee each month when any one of the performance standards outlined are not met in full, and a two (2) percent profit fee each month when any two (2) or more performance standards are not met in full.

Respondents must make samples available upon request by the City of Denton prior to award with no costs to the City.

Protests based upon alleged improprieties in a solicitation that are apparent before the solicitation due date shall be filed not less than five (5) working days before the solicitation due date. In all other cases, protests shall be filed within five (5) days of notice of intent to award or in the absence of a notice of intent to award, prior to the award date.

Whether the vendor or its ultimate parent company or majority owner has its principal place of business in Texas or employs at least 500 persons in Texas (0 points).

Proposals must be signed by an authorized individual to contractually bind their firm. Failure to sign will result in rejection. Vendors must also certify compliance with various provisions, including anticollusion, debarment and suspension, copyright and patent laws, and public information requirements.

Any proposer who is aggrieved in connection with a procurement, excepting the right of rejection, may protest in accordance with Garland ISD Board of Trustees Policy CJ Local.

The estimated annual value of this contract is $290,000, reflecting the district's estimated current requirements for one year.
